1. Introduction and Acceptance
Welcome to Digital Builders. These Terms and Conditions ("Terms") govern your access to and use of the Digital Builders platform, including our website, mobile applications, and all associated services (collectively, the "Service"), operated by Digital Builders ("Company", "we", "us", or "our").
Digital Builders is the trading name under which Unity Space SLU, a company incorporated in Spain, markets and operates its products and services.By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
These Terms constitute a legally binding agreement between you and Digital Builders.If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. DefinitionsFor the purposes of these Terms:"Platform" means the Digital Builders software-as-a-service community and learning management platform."Community Owner" or "Administrator" means a user who creates and manages a community on the Platform."Member" means a user who joins and participates in a community on the Platform."Content" means any text, images, video, audio, courses, materials, or other information posted or uploaded to the Platform."Subscription" means a paid plan granting access to specific Platform features."AI Credits" means credits consumed when using artificial intelligence-powered features on the Platform.
3. EligibilityYou must be at least 16 years of age to use the Service. If you are under 18, you must have your parent or guardian's consent to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.You must provide accurate, complete, and current information when creating an account and keep this information updated. You are responsible for maintaining the confidentiality of your account credentials.
4. Account Registration and SecurityTo access certain features of the Service, you must register for an account. You agree to:Provide accurate and truthful information during registration.Maintain and promptly update your account information.Keep your password secure and confidential.Notify us immediately of any unauthorised use of your account.Be responsible for all activities that occur under your account.We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice where required.
5. Subscription Plans and Billing
5.1 PlansDigital Builders offers multiple subscription tiers including Free, Basic, Advanced, Pro, and Enterprise plans. Each plan provides different features, usage limits, and AI Credit allocations as described on our Pricing Page. We reserve the right to modify plan features and pricing with reasonable notice.
5.2 PaymentPaid subscriptions are billed in advance on a monthly or annual basis. By providing payment information, you authorise us to charge the applicable subscription fees to your payment method. All fees are exclusive of applicable taxes, which will be added where required by law.
5.3 AI CreditsCertain platform features consume AI Credits, including course generation, module creation, and lecture generation. Credit usage rates are as described in our AI Credits Guide. Credits purchased as add-ons are non-refundable once consumed. Unused plan-included credits do not roll over between billing periods.
5.4 RefundsAnnual subscriptions may be eligible for a pro-rata refund within 14 days of purchase under EU consumer protection law. Monthly subscriptions are generally non-refundable except where required by applicable law. To request a refund, contact our support team.
5.5 CancellationYou may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. We do not provide refunds for unused portions of a subscription period except as required by law.
6. Acceptable Use PolicyYou agree not to use the Service to:Upload, post, or transmit any Content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.Infringe any intellectual property rights of any party.Distribute spam, malware, viruses, or other malicious code.Engage in fraudulent, deceptive, or misleading conduct.Attempt to gain unauthorised access to any part of the Service or other users' accounts.Scrape, crawl, or use automated means to access the Service without our prior written consent.Violate any applicable local, national, or international laws or regulations.Impersonate any person or entity, or misrepresent your affiliation with any person or entity.We reserve the right to remove Content and suspend or terminate accounts that violate this Acceptable Use Policy.
7. Community Owner ResponsibilitiesCommunity Owners bear additional responsibilities for the communities they manage:Establishing and enforcing community rules that comply with these Terms.Moderating community Content and member behaviour appropriately.Ensuring that courses, materials, and other Content published in their community do not infringe third-party rights.Complying with all applicable laws regarding the collection and use of member data.Maintaining accurate pricing and clear descriptions for paid content or coaching services offered through the platform.Digital Builders is not responsible for the Content of individual communities or the actions of Community Owners or Members.
8. Intellectual Property
8.1 Digital Builders Intellectual PropertyThe Service, including its design, software, and documentation, is owned by Digital Builders and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
8.2 Your ContentYou retain ownership of Content you upload to the Platform. By uploading Content, you grant Digital Builders a non-exclusive, worldwide, royalty-free licence to host, store, display, and transmit your Content as necessary to provide the Service.You represent and warrant that you have all necessary rights to upload your Content and that it does not infringe any third-party rights.
8.3 FeedbackIf you provide feedback or suggestions about the Service, you grant Digital Builders a perpetual, irrevocable, royalty-free licence to use such feedback without obligation or compensation to you.
9. Third-Party Services and IntegrationsThe Service may integrate with third-party services including Zoom, Google Meet, Google Calendar, Stripe, and others. Your use of these integrations is subject to those third parties' own terms and conditions. Digital Builders is not responsible for the availability, security, or accuracy of third-party services.
10. DisclaimersTHE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.Digital Builders does not warrant that the Service will be uninterrupted, error-free, or free of viruses. We do not guarantee the accuracy or completeness of any Content on the Platform.
11. Limitation of LiabilityTo the maximum extent permitted by applicable law, Digital Builders shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount paid by you to Digital Builders in the twelve months preceding the claim.Nothing in these Terms limits liability that cannot be excluded under applicable EU or national law, including liability for fraud, personal injury, or death caused by negligence.
12. IndemnificationYou agree to indemnify, defend, and hold harmless Digital Builders and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising from your use of the Service, your Content, or your violation of these Terms.
13. TerminationEither party may terminate these Terms at any time. Digital Builders may suspend or terminate your access to the Service immediately if you breach these Terms, engage in fraudulent activity, or if required by law.Upon termination, your right to use the Service ceases. Provisions of these Terms that by their nature should survive termination shall remain in effect.
14. Governing Law and Dispute ResolutionThese Terms are governed by the laws of the European Union and the national laws applicable in the jurisdiction where Digital Builders is registered. Any disputes shall first be attempted to be resolved through good-faith negotiation.If a dispute cannot be resolved through negotiation, it may be submitted to the competent courts of Digital Builders's jurisdiction. EU consumers also have the right to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/.
15. Changes to TermsWe may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
